🏝️ Miami Exchange Deal

Miami International Holdings, owner of the Bermuda Stock Exchange, has acquired The International Stock Exchange Group (TISE) for £70.4 million. The deal was structured as a scheme of arrangement under Guernsey law and sanctioned by the Royal Court of Jersey — consolidating ownership of a key offshore securities exchange that services public and private clients.

Why It Matters:
This acquisition gives Miami International a strategic launchpad into Europe’s offshore financial markets, at a time when regulatory arbitrage and secondary listings are growing in importance post-Brexit. For Reed Smith, it highlights the firm’s ability to advise on complex, cross-jurisdictional M&A involving financial institutions, corporate structures, and regulatory regimes in the Channel Islands.
